iShares Russell Mid-Cap Value ETF (the Fund), formerly iShares Russell Midcap Value Index Fund, is an exchange-traded fund (ETF). The Fund seeks investment results that correspond generally to the price and yield performance of the Russell Midcap Value Index (the Value Index). The Value Index measures the performance of the mid-capitalization value sector of the United States equity market. The Value Index is a subset of the Russell Midcap Index and measures the performance of equity securities issued by those Russell Midcap Index companies with relatively lower price-to-book ratios and lower forecasted growth. Component companies are adjusted for available float and must meet objective criteria for inclusion to the Index. The Fund invests in a representative sample of securities included in the Value Index that collectively has an investment profile similar to the Value Index. The Fund's investment advisor is BlackRock Fund Advisors.

In seeking to track the performance of the S&P Small Cap 600 Value Index (the Index), the Fund employs a replication strategy. The Index measures the performance of the small-capitalization value sector in the United States equity market. The Fund's investments include commercial banks, Real Estate Investment Trust, Machinery, Aerospace and Defense, Insurance, and Health Care Providers and Services. SSgA Funds Management, Inc. acts as the Fund's investment manager.

Vanguard Value ETF (the Fund) is an exchange-traded share class of Vanguard Value Index Fund, which employs a passive management or indexing investment approach designed to track the performance of the MSCI US Prime Market Value Index (the Index). The Index is a diversified index of value stocks of predominantly large United States companies. The Index represents the value companies of the MSCI US Prime Market 750 Index. The MSCI US Prime Market 750 Index represents the universe of predominantly large-capitalization companies in the United States equity market. The Fund attempts to replicate the target Index by investing all, or substantially all, of its assets in the stocks that make up the Index, holding each stock in approximately the same proportion as its weighting in the Index. The Fund may invest, to a limited extent, in stock futures and options contracts, warrants, convertible securities and swap agreements.
