In March 2013, the Company completed the merger contemplated by the previously announced Agreement and Plan of Merger (the Merger Agreement), by and among the Company, ShangPharma Holdings Limited (Holdings), ShangPharma Parent Limited (Parent) and ShangPharma Merger Sub Limited (Merger Sub). As a result of the merger, the Company became a wholly owned subsidiary of Parent.
