We are a blank check company incorporated as a Cayman Islands exempted company whose business purpose is to effect a merger, share exchange, asset acquisition, share purchase, reorganization or similar business combination with one or more businesses, which we refer to throughout this prospectus as our initial business combination. We have not selected any specific business combination target and we have not, nor has anyone on our behalf, engaged in any substantive discussions, directly or indirectly, with any business combination target with respect to an initial business combination with us. We have generated no revenues to date and we do not expect that we will generate operating revenues at the earliest until we consummate our initial business combination. Our efforts to identify a prospective initial business combination target will not be limited to a particular industry, sector or geographic region. While we may pursue an initial business combination opportunity in any industry or sector, we intend to capitalize on the ability of our management team to identify, acquire and operate a business or businesses that can benefit from our management team’s established global relationships, sector expertise and active management and operating experience. We intend to distinguish ourselves from other SPAC sponsor teams through four key dimensions of experience: • A seasoned management team with dedication, focus and extensive track record working on SPAC transactions through all market conditions; • Unique capabilities and approach to the process of executing an initial business combination, as well as post-closing support to ensure company is well-received in the public markets; • Our understanding of global financial markets and events, financing and overall corporate strategy options; and • Our ability to leverage an extensive global network of relationships to create a significant pipeline of initial business combination opportunities that have strong fundamental growth prospects. Our management team brings together extensive and invaluable expertise driven by a focus on SPAC transactions, both from the perspective of a target company as well as that of a SPAC sponsor. Our team has significant hands-on experience working with private companies in preparing for and executing an initial public offering, and working closely with these companies to continue their transformation into scaled businesses with attractive performance metrics, which we believe would help create value in the public markets: • Our management team has advised on around 25 SPAC transactions since the beginning of 2020, with experience advising target companies in selling to SPACs, as well as advising SPAC sponsors in connection with their acquisitions of target companies; • Our co-CEOs, Gus Garcia and Lewis Silberman, and our President and CFO, Anantha Ramamurti, also served as co-CEOs and President, respectively, of GSR II Meteora Acquisition Corp., and as co-Presidents and Chief Financial Officer, respectively, of Graf Acquisition Corp. IV (NYSE: GFOR); Our Chief Business Development Officer, Yuya Orime, also served as a Senior Vice President at GSR II Meteora Acquisition Corp. • Messrs. Garcia, Silberman and Ramamurti also serve as Managing Partners of SPAC Advisory Partners, LLC, a boutique advisory firm they co-founded in 2021 to focus on SPAC-related transactions; Mr. Orime also serves as Senior Vice President at SPAC Advisory Partners, LLC.
