AIAI NASDAQ: AIAI is pursuing an acquisition-led strategy that combines retained management teams with proprietary artificial intelligence technology, CEO Todd Furniss said during a company presentation. The company does not intend to sell software or services to outside customers, Furniss said, but instead plans to deploy its technology across businesses it acquires.
“We buy companies, we retain the management teams, and then we use our newly acquired retained management teams to deploy our technology in our newly acquired companies,” Furniss said.
Furniss described the company’s approach as focused on what it calls “non-monotonic reasoning,” which he contrasted with machine learning and generative AI. He said the technology is designed to work with changing data and rules, rather than relying on fixed inputs.
Acquisition Criteria and Operating Model
AIAI said it targets businesses with complex, urgent or administrative problems, an approach Furniss referred to as its “CURA” strategy. Examples included airline gate assignments, organ transportation logistics and healthcare claims processing.
The company generally seeks acquisition targets with at least $100 million in revenue, EBITDA margins of at least 5%, and strong EBITDA-to-cash conversion, according to Furniss. While many targeted businesses are expected to be asset-light, he said the company’s holdings and areas of interest can span sectors including construction, technology and potentially rare-earth mining.
Rather than pursuing a traditional roll-up, Furniss said AIAI is building a portfolio in which each company remains in its own operating silo and can grow within its industry. The company expects to find cross-portfolio opportunities, however. He cited the use of DAG, a cryptocurrency associated with portfolio company Constellation Network, in MediGuide’s cross-border payment efforts.
Furniss said AIAI’s goal is to close acquisitions about 120 days after signing a letter of intent and begin deploying its technology within another 120 days. He contrasted that timeline with enterprise software sales and implementation processes that can take years.
The company’s technology strategy is centered on revenue growth and new product development rather than workforce reduction, Furniss said. He argued that positioning AI as a tool for innovation can increase employee participation and adoption.
Portfolio Initiatives
Furniss highlighted MediGuide, a company that provides medical second-opinion services through relationships with approximately 120 multinational insurance companies. He said the service operates in roughly 150 countries and 47 languages.
AIAI is seeking to expand MediGuide into a broader healthcare delivery platform, including longevity services and telehealth, according to Furniss. He also said the company had been approached by a major Saudi Arabian mall developer about healthcare-delivery kiosks.
Elsewhere, Furniss said AIAI is working with a large credit-card processing company on efforts involving fraud, waste and abuse in healthcare savings account payments. He also described a nonprofit effort that uses technology to identify suspected human sex traffickers, stating that the organization had identified 50 people now in jail and referred another 150 people to authorities.
When asked about documented financial improvements from AI deployment, Furniss said AIAI had not yet reached its six-month anniversary as an operating company. He said products scheduled to roll out in the coming weeks could begin demonstrating improvements and that the company has case studies and a white paper available.
Cash Generation and Capital Plans
Starting in 2027, Furniss said AIAI intends to hold itself accountable for the rate at which it compounds cash. The strategy is to acquire companies, generate value and redeploy cash into further acquisitions.
The company has announced a letter of intent for a transaction that Furniss said was expected to close imminently. If completed, he said the transaction would bring approximately $125 million of free cash through AIAI’s books, compared with roughly zero currently. The company did not provide further details on the proposed transaction during the presentation.
Furniss also discussed AIAI’s financing plans. He said the company recently launched an equity line of credit with B. Riley and filed an S-1 registration statement. He said AIAI would use the equity line cautiously and was also pursuing a private convertible preferred offering targeting $25 million to $50 million.
According to Furniss, the proposed preferred security would include a 12% payment-in-kind feature and conversion terms tied to a share price between $5 and $7. He said the company believes private preferred financing could be less dilutive than drawing heavily on the equity line.
Furniss said AIAI became publicly traded through a direct listing on Nasdaq and has not yet conducted a traditional underwritten public offering of treasury shares. He said the company had approximately 450 to 475 investors on May 6 and about 3,000 investors at the time of the presentation.
Looking ahead, Furniss said the company may consider an IPO-related capital raise around the end of the second quarter of the following year if its market capitalization increases substantially. He said AIAI’s longer-term holding periods and potential exits for portfolio companies would be evaluated on a case-by-case basis.
