The companies said the combination would pair Bunker Hill’s Idaho mine, which achieved first production in June and is ramping toward commercial production, with Silver47’s exploration and development portfolio. Bunker Hill Executive Chairman Richard Williams described the deal as creating a “Made in America silver and critical metals champion” during a period of increased focus on domestic mineral supply chains.

Transaction Terms and Ownership

Under the proposed plan of arrangement, Silver47 shareholders would receive 0.1724 Bunker Hill shares for each Silver47 share. The companies said the consideration implies a value of US$0.67, or C$0.93, per Silver47 share, representing a 38% premium to Silver47’s last closing price and a 30% premium to its 20-day volume-weighted average price.

Following the transaction, Bunker Hill shareholders are expected to own approximately 57% of the combined company, while Silver47 shareholders would own roughly 43%. The companies estimated a pro forma market capitalization of approximately $326 million.

Both boards unanimously approved the transaction, subject to shareholder, court, creditor, regulatory and stock-exchange approvals. Special shareholder meetings are expected in November, with the companies targeting closing in the fourth quarter, although Williams said the arrangement process provides for an outside timeframe extending into the first half of the following year.

Capital Position and Management

Operating Mine and Development Pipeline

Bunker Hill is ramping its Idaho operation toward 1,800 tons per day of throughput, with plans to evaluate an expansion to 2,500 tons per day. Ash said the mine’s processing plant is designed for that expansion and produces zinc concentrate and lead-silver concentrate, with concentrate delivered to Teck’s Trail smelter.

Management said Bunker Hill produced 165 million ounces of silver over its historical operating life and is pursuing additional exploration at the mine, including the Cate-8 target, near-mine opportunities, the Ranger Page area and deeper mineralization.
