Key Points

Visteon NASDAQ: VC reported third-quarter sales growth that outpaced customer vehicle production declines, while warranty charges tied to two instrument-cluster programs reduced reported profitability and prompted a cut to its full-year adjusted EBITDA outlook.

Sales rose 6% year over year to $970 million in the third quarter, even as customer-weighted vehicle production declined about 5%, according to President and Chief Executive Officer Sachin Lawande. Excluding memory recoveries and pricing, the company said it outperformed the market by approximately 10 percentage points.

“Our recent launches over the last few quarters enabled us to grow sales and outperform the market,” Lawande said, pointing to product ramps in Europe, India and other markets.

Warranty Charges Weigh on Reported Earnings

Visteon recorded approximately $77 million in warranty-related charges during the quarter involving two separate instrument-cluster programs for different customers. One issue is expected to be addressed through software updates, while the other will require product replacement. Lawande said root causes had been identified and corrected and that the charges represented the company’s best estimate of remediation costs.

The charges lowered adjusted EBITDA to $46 million, or 4.7% of sales. Excluding them, adjusted EBITDA would have totaled $123 million, or 12.7% of sales, compared with 12.1% in the second quarter, Chief Financial Officer Jerome Rouquet said.

Rouquet said Visteon believes its current accrual adequately addresses the two warranty matters. The company disclosed a possible additional $20 million at the upper end of the range for one claim, but said such costs were possible rather than probable.

“We believe that we are currently accrued at the right level for these warranty items,” Rouquet said.

Regional Growth Led by Europe and India

Europe was Visteon’s strongest region, with sales increasing nearly 20%. The performance was supported by panoramic multi-display and cluster programs with Audi, display and cluster programs with Renault, and display launches with Mercedes, the company said. These gains more than offset lower volumes and program roll-offs involving BMW legacy programs.

In Asia excluding China, sales rose roughly 14%, led by launches of SmartCore domain controllers with Mahindra in India and digital clusters for Royal Enfield and TVS two-wheelers. India’s gains offset the roll-off of a Mazda program in Japan and currency headwinds from the Indian rupee and Japanese yen.

In the Americas, lower battery-management-system sales to General Motors weighed on results following elevated demand a year earlier ahead of the expiration of EV tax credits. New programs with Ford and Nissan partly offset that decline.

China remained challenging, with customer production down approximately 17%, in line with the broader industry excluding exports. Lawande said Visteon is shifting its China customer mix toward domestic automakers, which now represent about half of China sales, compared with just over one-third a year earlier.

The company expects China sales to return to growth in the fourth quarter as high-performance computing systems launch with domestic manufacturers Geely and SAIC. Visteon also launched its SmartCore high-performance compute cockpit domain controller on the Chery Freelander 8 during the third quarter.

Bookings, Launches and Supply Measures

Visteon launched 21 products across 14 automakers during the quarter and booked nearly $1 billion in new business, bringing year-to-date bookings to $3.9 billion. The company maintained its target of $6 billion in full-year new business bookings, though it said some anticipated third-quarter sourcing decisions moved into the fourth quarter as automakers evaluate memory technology and product architecture changes.

About half of the third-quarter awards are expected to launch in 2027, with another 25% planned for 2028, Lawande said.

The company said it has taken steps to address tightening supplies of memory, printed circuit boards and other electronic components, including strategic supply agreements, expanding its DRAM and NAND supplier base, and redesigning products to reduce reliance on constrained parts.

Memory costs were fully offset by customer recoveries during the third quarter, Rouquet said. However, Visteon incurred approximately $10 million in cost leakage from a second wave of inflation affecting PCBs and other electronic components. The company is negotiating with customers to recover those costs.

For 2027, management expects memory and other electronic-component costs to exceed assumptions presented at its June Investor Day. Lawande said the company expects combined incremental costs to be in a range comparable with 2022, when it experienced roughly $500 million in incremental costs, though he stressed that the figure was indicative and dependent on product mix and customer production volumes.

Guidance Updated as Cash Flow Reflects Inventory Build

Visteon raised its full-year sales outlook to a range of $3.8 billion to $3.85 billion, with the midpoint $25 million above where the company had been trending after the second quarter. The company expects low-single-digit sales growth for the year and mid-single-digit growth over market.

It reduced its adjusted EBITDA outlook to $370 million to $410 million from a previous range of $455 million to $495 million, primarily reflecting the $77 million warranty charges. Management said component inflation and recovery timing are also expected to pressure full-year margins.

  • Fourth-quarter sales outlook: About $940 million, roughly flat year over year and down 3% sequentially.
  • Expected customer production trend in Q4: Down approximately 6%.
  • Full-year adjusted free cash flow outlook: $90 million to $130 million, down from a prior range of $170 million to $210 million.

Adjusted free cash flow was negative $1 million in the third quarter and negative $4 million through the first nine months, compared with $215 million in the prior-year period. The company attributed the decline to lower underlying earnings, higher inventory and working-capital investment, cash taxes and capital spending.

Visteon increased inventories to secure critical components, build safety stock and support upcoming product launches. It ended the quarter with net cash of $136 million after completing a $200 million accelerated share repurchase program and paying $9 million in dividends. The repurchase reduced outstanding shares by approximately 2 million, or 7.5%, Rouquet said.
