The Company is engaged in identifying and acquiring an established coal producer in the Central Appalachian region. Lipari Coal Holdings, Inc. (Lipari), through its wholly owned subsidiary, B&W Resources Inc. (B&W), mines, processes and sells bituminous steam coal from mines located in Clay, Perry, Owsley and Leslie Counties, Kentucky representing approximately 13,700 acres of land in the Commonwealth of Kentucky. In March 2010, B&W acquired Sand Hill Coal Processing, Inc. In November 2013, 0976837 BC Ltd acquired the remaining 42.7% stake in Lipari Energy Inc.
