  • Compass narrowed its 2026 outlook for subsidiary adjusted EBITDA to $330 million–$355 million, reflecting higher consumer expectations offset by lower industrial expectations and greater uncertainty.
  • Debt reduction remains a priority: The company ended the quarter with $1.57 billion in debt and a 4.5x covenant leverage ratio, and expects about $70 million in excess cash for debt repayment this year. Compass Diversified NYSE: CODI reported higher third-quarter adjusted earnings from its subsidiaries and narrowed its full-year outlook, as growth in its consumer businesses helped offset weaker industrial results.

Subsidiary adjusted EBITDA rose 12.9% to approximately $90 million on a comparable basis, Chief Financial Officer Stephen Keller said. Branded consumer adjusted EBITDA increased 28%, while industrial adjusted EBITDA declined 19.6%.

Chief Operating Officer Zach Sawtelle said the company’s priorities include profitable growth, debt reduction and divestitures that maximize value. He declined to put a timetable on a potential sale, citing an increasingly uncertain mergers and acquisitions market.

The call was the last as CEO for Elias Sabo, who thanked employees and stakeholders and expressed confidence in Sawtelle, Keller and the broader team.

Consumer growth offsets industrial weakness

Reported third-quarter net sales fell to $423 million from $473 million a year earlier. Income from continuing operations was $23 million, compared with a loss of $87 million in the prior-year period.

Basic earnings were $0.06 per share, including a $20.1 million income tax benefit related to a Lugano recovery. The company reported a loss of $1.21 per share a year earlier.

On a comparable basis, sales rose approximately 0.8%, with branded consumer sales up 4% and industrial sales down 5%. Those comparisons exclude Lugano from the prior-year period and the divested Sterno Food Service business from both periods.

Keller said results benefited from approximately $7 million in tariff refunds during the quarter. He said the company reinvested most of that amount in its businesses. Total adjusted EBITDA after approximately $22 million in corporate expenses was $68 million.

Within the consumer portfolio, The Honey Pot’s adjusted EBITDA rose 124%, while BOA and PrimaLoft recorded increases of 22% and 28%, respectively. Sawtelle said some of the strength at BOA and PrimaLoft reflected the timing of customer orders, which the company considered in its expectations for the rest of the year.

At 5.11, adjusted EBITDA fell just under 2% amid softness in the direct-to-consumer channel. Sawtelle said the company is reducing promotional pricing, and that full-price product sales increased approximately 10 percentage points from a year earlier.

Industrial subsidiary Arnold more than doubled adjusted EBITDA, supported by demand for rare earth magnets. Sawtelle said supply chain constraints were limiting how quickly Arnold could fill orders, while the business was working to expand capacity and develop additional raw material sources.

Altor continued to face weakness in life sciences and industrial markets, higher input costs and commercial execution challenges, Sawtelle said. He added that improving results would take several quarters.

Guidance and debt reduction

Compass Diversified narrowed its 2026 subsidiary adjusted EBITDA outlook to $330 million to $355 million. The forecast includes $250 million to $270 million for branded consumer businesses and $80 million to $85 million for industrial businesses. The company did not provide the previous ranges on the call.

Keller said the updated outlook reflected modestly higher expectations for consumer businesses, offset by lower industrial expectations. It also accounts for some demand being pulled forward and increased macroeconomic uncertainty. The forecast includes approximately $9 million of adjusted EBITDA generated by Sterno Food Service before its sale.

The company generated approximately $52 million in operating cash flow during the quarter, bringing the year-to-date total above $100 million, compared with an approximately $50 million outflow through the first three quarters of 2025. It ended the quarter with $127 million in cash and approximately $1.57 billion in total debt. Its covenant leverage ratio was 4.5 times.

Keller said Compass received nearly $30 million in September after a court approved Lugano’s liquidation plan and used the proceeds to pay down its term loan on Oct. 1. Lugano is no longer a subsidiary, though Compass will continue to address related litigation, he said.

For the full year, Keller reiterated an expectation of approximately $70 million in excess cash available for debt repayment, excluding one-time costs and recoveries. That amount is after preferred and interest payments.

Sawtelle said potential divestiture processes were taking longer in the uncertain market, but the company remained committed to pursuing a transaction. “We won’t sacrifice value for expediency,” he said.
