Key Points

  • Gibraltar lowered its 2026 outlook after residential demand weakened more sharply than expected and Agtech project delays pushed over $40 million of revenue out of the second half. It now expects the residential market to decline 15% in that period.
  • Despite the pressures, adjusted EBITDA rose 62.3% to $84 million, with adjusted earnings of $1.01 per share. Gibraltar also raised its expected annualized OmniMax integration savings to $36.5 million.
  • Gibraltar plans to sell its Infrastructure business for $208 million and use more than $200 million of proceeds to reduce debt. CFO Joe Lovechio is leaving later in November, with treasurer Jeff Watorek named interim CFO.

Gibraltar Industries NASDAQ: ROCK reduced its 2026 outlook after a sharper-than-expected slowdown in the residential market and delays to Agtech projects weighed on third-quarter results. The company also announced a finance leadership transition and said it expects to use proceeds from a planned Infrastructure sale to pay down debt.

Chairman, President and Chief Executive Officer Bill Bosway said each of Gibraltar’s three segments fell short of management’s expectations for continuing operations during the quarter. The company now assumes the residential end market will decline 15% in the second half of the year, compared with its earlier expectation of a roughly 5% decline.

Gibraltar reported adjusted operating income of $59 million and adjusted EBITDA of $84 million, up 62.3%. Adjusted earnings were $1.01 per share. The company generated $9 million in operating cash flow from continuing operations.

Residential Demand Slows

Residential segment sales rose 73% to $399 million, helped by the acquisition of OmniMax International, which contributed $161 million. Segment organic growth was 3.1%, while building products sales grew 4.1% assuming Gibraltar had owned OmniMax in the third quarter of 2025, Chief Financial Officer Joe Lovechio said.

That growth came as U.S. shingle shipments fell 13% from a year earlier and 22% from the second quarter. Lovechio said demand weakened swiftly beginning in August, with Florida and Texas among the softest large markets. Residential adjusted EBITDA margin was 18.9%, essentially flat sequentially but below management’s expectations.

Bosway attributed the slowdown to a combination of weaker end demand and customer destocking. He also pointed to higher interest rates and fuel prices, slow housing activity and fewer major weather events than the industry typically sees.

Gibraltar faced higher steel, fuel and logistics costs during the quarter. Bosway said the company is working to recover those costs through pricing but has not assumed it will recoup all of them early in the fourth quarter.

Integration Savings and Project Delays

Gibraltar closed its OmniMax acquisition on Feb. 2 and said it has surpassed its original three-year synergy target of $35 million on an annualized run-rate basis. The company raised its 2026 annualized run-rate savings estimate to $36.5 million and expects to realize $19.5 million in savings by year-end. It realized $7.8 million in the third quarter and $14.5 million through that period.

In Agtech, sales rose 3% from a year earlier, but more than $40 million of revenue shifted out of the second half as customers faced permit delays or reprioritized store construction schedules. Lovechio said permits are beginning to receive approval, including for a larger project scheduled to start later in November.

Agtech backlog was $45.6 million at quarter-end, down 55%, although Gibraltar subsequently won a $75 million controlled-environment agriculture project. Infrastructure sales fell 7.8%, partly because municipal installation pilots delayed production orders for fiber optic seal products into 2027. Infrastructure backlog rose 10% during the quarter.

Revised Outlook and Debt Reduction

Excluding Infrastructure, which Gibraltar plans to reclassify as a discontinued operation in the fourth quarter, the company’s revised 2026 guidance calls for:

  • Net sales of $1.64 billion to $1.66 billion.
  • Adjusted EBITDA margin of 14.7% to 15%.
  • GAAP earnings of $0.64 to $0.79 per share and adjusted earnings of $2.25 to $2.40 per share.
  • Free cash flow of approximately 1% of sales.

The outlook reflects lower expected EBITDA and the timing of Agtech deposits and approximately $30 million in anticipated tax refund benefits, which Lovechio said are now expected in early 2027. He said the company’s 2024 U.S. federal consolidated income tax return is under examination and that work related to the examination contributed to later-than-expected tax filings.

Gibraltar announced in October that it agreed to sell D.S. Brown, its Infrastructure business, to Saint-Gobain for $208 million. The sale is expected to close before the end of 2026, subject to customary conditions and regulatory approval. Gibraltar also sold its Renewables eBOS business in February and its racking business in July.

Net debt stood at $1.2 billion at quarter-end. Lovechio said the company expects to apply more than $200 million of proceeds from the Infrastructure sale to debt, bringing expected net debt below $1 billion. Gibraltar also expects net debt to fall below $800 million by the first quarter of 2028.

Finance Leadership Change

Lovechio will leave Gibraltar later in November for an opportunity at a large global private company, Bosway said. Jeff Watorek, Gibraltar’s vice president and treasurer since 2017, will become interim CFO effective Nov. 20 while the company searches for a permanent successor.

Asked about the future of Agtech in Gibraltar’s portfolio, Bosway said the company continues to evaluate its assets while pursuing a broader strategy of becoming more focused on building products. He did not announce a transaction involving the business.
