Ascent Industries NASDAQ: ACNT reported higher third-quarter sales and adjusted earnings as organic growth and its Midwest Graphic Sales acquisition helped lift revenue, though executives cautioned that seasonal product demand would compress margins in the fourth quarter.
Third-quarter net sales rose 37.8% from a year earlier to $27.1 million, while sales excluding Midwest increased 26.3%. Adjusted earnings before interest, taxes, depreciation and amortization, or EBITDA, rose to $3.5 million from $1.4 million.
“The improvement was broad-based,” CEO Bryan Kitchen said on the earnings call, pointing to gains in revenue and adjusted EBITDA from the prior quarter, a year earlier and over the trailing 12 months.
Revenue increased 5.7% sequentially, while gross profit rose approximately 28.3% to $7.1 million. Adjusted EBITDA margin expanded to 13% from 5.7% in the second quarter.
Margins Improve Sequentially
Gross profit increased 21.9% from a year earlier, and gross margin improved approximately 460 basis points from the second quarter to 26.2%, CFO Ryan Kavalauskas said. Gross margin remained below the year-earlier level, primarily because of higher material costs.
Selling, general and administrative expenses were $5.3 million, or 19.6% of revenue, compared with 31.7% of revenue a year earlier. Kavalauskas said the company believes an SG&A run rate around 15% of revenue is achievable over time as sales grow and processes are standardized.
Kitchen said the company had previously indicated that the 15% level could be reached at approximately $120 million to $130 million in revenue, although Ascent would continue to invest in sales talent.
For the first nine months of 2026, net sales rose 28.5% to $72.2 million, and adjusted EBITDA improved to $4 million. Over the trailing 12 months, continuing operations generated $91 million in revenue and $2.86 million in adjusted EBITDA, compared with $0.02 million in adjusted EBITDA in the comparable prior-year period.
Pipeline and Midwest Acquisition
Kitchen said Ascent converted 12 opportunities across eight customers into approximately $2.8 million in annualized revenue during the third quarter. Half of the wins came from new customers, and the average win size exceeded $200,000 in annualized revenue.
The active selling project pipeline ended the quarter at approximately $135 million, nearly 60% higher than a year earlier. Kitchen said the pipeline comprises specific product and customer combinations tied to expressed customer needs; opportunities do not necessarily become sales.
More than $50 million of the pipeline is associated with Midwest, Kitchen said. The acquired business also secured two new pieces of business expected to produce more than $500,000 in annualized revenue at full run rate.
Asked about a negative $200,000 adjusted EBITDA contribution from Midwest in the quarter, Kavalauskas attributed it largely to corporate allocations and an escrow expense carried by the business. Excluding those items, he said, Midwest was roughly at break-even.
Kitchen added that Midwest had conducted field trials with at least three customers. One project had reached commercial production, while the other two were still progressing through the sales cycle.
Seasonality and Cash Priorities
Kitchen said he expects fourth-quarter revenue to be higher than in the same period of 2025, but margins to be compressed from the third quarter because of the existing mix of business. He cited agricultural products and jet fuel additives concentrated in the second and third quarters, as well as normal fourth-quarter customer destocking, as drivers of seasonality.
Ascent ended September with $28.7 million in cash, no borrowings under its revolving credit facility and $21.1 million in remaining revolver availability. The business generated approximately $2.2 million in operating cash during the third quarter, although operating activities used $5.5 million over the first nine months.
After quarter-end, Ascent received the full $4.55 million Bristol Metals escrow holdback. Kavalauskas said the release brought cash into the low- to mid-$30 million range before further discretionary capital deployment.
Management’s capital allocation priorities remain liquidity, working capital, internal investments, strategic acquisitions and opportunistic share repurchases, in that order. Kavalauskas said the company would consider an acquisition that supports growth in its targeted markets and could also repurchase shares opportunistically.
