BKV NYSE: BKV reported higher third-quarter adjusted earnings and said it is in exclusive negotiations with a leading artificial intelligence lab to supply power and infrastructure from its Temple Energy Complex in Texas.
The company increased its planned first phase of modular generation at Temple to 400 megawatts from 200 megawatts at the potential customer’s request. BKV’s power joint venture also entered a cost reimbursement agreement with the intended buyer, which the company said will support development while the parties work toward a long-term power purchase agreement.
Chief Executive Officer Chris Kalnin said BKV continues to target an agreement in 2026 or early 2027, although changes in Texas’ political and regulatory environment following the election could affect that timetable. The cost reimbursement agreement is separate from a previously announced $177 million backstop agreement with an investment-grade hyperscaler, he said.
Power Expansion and Financing
BKV expects the first 400 megawatts at Temple to begin coming online in approximately 100-megawatt increments as early as late 2027, with the full amount ramping up during 2028, Kalnin said. The company has secured air permits for that capacity, he added.
The broader Temple plan also includes potentially contracting half of the complex’s existing 1.5 gigawatts through a private use network and building a third combined-cycle gas turbine plant. BKV is also evaluating a potential 1.2-gigawatt combined-cycle project at its Jack County site.
Kalnin said both projects initially contemplate operating independently of the grid, with the potential for limited and then fuller grid connections over time. He described the initial approach as a way to meet customer demand while the grid and regulatory framework catch up.
At the existing Temple complex, gross power adjusted EBITDA was $34 million before corporate expense allocations. Chief Financial Officer David Tameron said financial results fell short of expectations as additions of solar and battery storage weighed on peak pricing, despite record demand in the Electric Reliability Council of Texas market.
Power-related strategic growth spending was approximately $116 million in the third quarter. BKV expects $240 million to $270 million in the fourth quarter, largely because of the expanded first phase at Temple. Tameron said commercial agreements with counterparties limit the company’s capital at risk.
Production and Earnings Rise
Adjusted EBITDAX rose to $133 million from $101 million a year earlier. Adjusted net income attributable to BKV was $40 million, or $0.36 per diluted share. Adjusted free cash flow was approximately $31 million, excluding strategic power growth capital.
Production averaged 981 million cubic feet of natural gas equivalent per day, above the company’s guidance range. The result included approximately two weeks of output from Barnett Shale assets acquired on Sept. 15, President of Upstream Eric Jacobsen said. Development capital of $51 million came in below the low end of guidance.
The acquisition added approximately 65 million cubic feet of natural gas equivalent per day of liquids-rich production, along with reserves, midstream infrastructure and an operating carbon capture project. Liquids represented 20% of BKV’s total production and approximately 30% of its natural gas, natural gas liquids and oil revenue in the quarter, Jacobsen said.
Tameron said updated guidance reflects the acquisition and calls for production to exceed 1 billion cubic feet per day. BKV maintained its original capital guidance apart from the increase in anticipated strategic power investment.
Looking ahead, Jacobsen said the near-term gas market appears well supplied, with a larger increase in demand from liquefied natural gas and power expected in late 2027 and 2028. BKV can adjust the timing of well completions and other activity if prices weaken, he said. The company plans to provide its full 2027 outlook with fourth-quarter results.
Liquidity and Carbon Capture
BKV ended the quarter with approximately $620 million in cash and cash equivalents and $1.2 billion in total liquidity. Net debt was $1.4 billion, and net leverage was 2.4 times. During the quarter, the company raised $575 million through convertible notes and entered an equipment financing arrangement providing up to $160 million for the initial 200 megawatts of modular engines.
Tameron said BKV expects to use a mix of operating cash flow, partner capital, equipment financing and project-level structures to fund growth. Once a power purchase agreement and project financing are finalized, BKV expects to be reimbursed for equity it has contributed above the required share of project funding, he said.
In carbon capture, BKV now has four operating projects with a combined injection run rate of approximately 350,000 tons of carbon dioxide per year. The company is targeting 1.5 million tons per year in 2028, with an East Texas project scheduled to begin operations in mid-2027.
Kalnin also said BKV received certification from Verra for carbon credits associated with sequestration tied to natural gas production. Customer interest varies, he said: one potential power customer considers carbon offsets central to its plans, while another is largely indifferent.
