Enovis NYSE: ENOV reported third-quarter sales of $559 million and raised its full-year adjusted earnings outlook, as growth in its reconstructive business and improved cash generation helped offset what executives described as a volatile market for medical procedures.
Sales rose 2% from a year earlier on a reported basis and 5% organically. Adjusted earnings per share increased 17% to $0.88, while adjusted EBITDA margin expanded 120 basis points to 18.5%.
Chief Financial Officer Ben Berry said the results were in line with the expectations the company set in August. Enovis also announced a new $200 million share repurchase authorization, which Berry said the company plans to use opportunistically.
Reconstructive Growth and Market Conditions
The reconstructive, or Recon, business grew 6% organically. Global extremities sales rose 8%, while hip and knee sales increased 5%. In the U.S., Recon grew 5%, including 5% growth in extremities and 3% growth in hips and knees. International Recon sales increased 8% organically, led by double-digit growth in shoulder products.
Chief Executive Officer Damien McDonald said Western European market conditions remained challenging and the Middle East conflict continued to weigh on international growth. Berry estimated the conflict reduced international growth by 100 basis points and total company growth by about 40 basis points in the quarter.
Asked about potential pressure from surgical scheduling, cancellations and patients’ willingness to pay out-of-pocket costs, McDonald said the company was seeing all of those factors. “It’s pretty choppy,” he said, adding that Enovis was focused on gaining market share through account targeting, pricing discipline and sales-force training.
McDonald said the Nebula hip stem continued to drive growth, with more than 80% of new instrumentation sets placed with competitive users during the quarter. Nebula is now the company’s top-selling stem, he said. Enovis also completed its first European shoulder cases using its ARVIS technology last month.
The prevention and recovery, or P&R, segment grew 3% organically, including 5% growth in the U.S. McDonald said global bracing grew 3%, while the Recovery Sciences business benefited from double-digit growth in Regen as the company expanded its Manafuse launch and converted customers from competitors.
Robotics Deal and Capital Allocation
Enovis expects its pending acquisition of eCential Robotics to close by year-end after completing the works council consultation, McDonald said. The company announced a binding offer for eCential on Sept. 1.
Integration planning is underway, with Enovis and eCential teams working on knee and shoulder programs. McDonald said the company expects to bring a knee robot to market within two years, followed by a shoulder robot soon afterward. He said it was too early to discuss a detailed launch strategy before the transaction closes.
Enovis ended the quarter with net leverage of 2.9 times, below its goal for the year. Berry said leverage would rise by about half a turn when the eCential deal closes. The company intends to remain within a leverage range of 2.5 to 3.5 times while using the buyback authorization opportunistically.
Free cash flow was $35 million in the quarter and $37 million for the first nine months, an improvement of $50 million from the prior-year period. Berry reiterated the company’s 2026 target of more than 25% free cash flow conversion and said it still sees a path to at least 50% conversion and $100 million of cash generation next year.
Full-Year Outlook
Enovis narrowed its 2026 revenue guidance to $2.32 billion to $2.35 billion and expects approximately 5% organic growth. It raised its adjusted EBITDA outlook to $428 million to $438 million and its adjusted earnings range to $3.58 to $3.79 per share.
The outlook includes an additional $4 million investment in enabling-technology research and development talent and a $1 million unfavorable currency impact. Berry said those items were why the company did not pass all of its third-quarter earnings upside through to its full-year forecast.
Enovis expects modest fourth-quarter growth acceleration in both segments, supported by ARVIS and shoulder products, continued Nebula conversions and new P&R products. Berry said an extra selling day would contribute more than 150 basis points to fourth-quarter top-line growth. The forecast assumes the third-quarter procedural environment continues through year-end, with typical fourth-quarter seasonality.
Adjusted gross margin rose 60 basis points to 60.9% in the third quarter, including $8 million in tariff refunds, partly offset by roughly $3 million in inflationary pressure from higher raw material, freight and distribution costs tied to the Middle East conflict. Berry said business mix was the primary factor behind underlying gross-margin pressure when asked about the effect of excluding the refund.
