Geo Group NYSE: GEO reported record third-quarter revenue and adjusted EBITDA, boosted by immigration detention contracts and increased transportation services, and raised its 2026 earnings outlook.
Revenue rose 12% to $761.1 million from $682.3 million a year earlier. Adjusted EBITDA increased 21% to $145.3 million, while adjusted net income rose to $51.8 million, or $0.39 per diluted share, from $35 million, or $0.25 per share.
Net income attributable to GEO operations fell to $49.2 million, or $0.37 per diluted share, from $173.9 million, or $1.24 per share. Chief Financial Officer Shayn March said the year-earlier result included a $228 million gain from the sale of the company’s Lawton, Oklahoma, facility.
Chairman and CEO George Zoley said new contracts entered into during 2025 helped drive the better-than-expected performance. Those agreements included the activation of four facilities with 6,000 beds for U.S. Immigration and Customs Enforcement detainees, valued at approximately $280 million in annual revenue.
New Facilities and Contract Expansions
GEO has entered into agreements in 2026 to activate four additional facilities for ICE detainees, with approximately 4,800 beds. Zoley said those contracts and expanded services at existing facilities represent approximately $500 million in incremental annual revenue.
The new facilities include Big Horn in Colorado and Rivers in North Carolina, which GEO expects to generate approximately $85 million and $80 million, respectively, in annual revenue during their first full year of operations beginning in the first quarter of 2027. The two-facility Big Spring Complex in Texas is expected to generate approximately $200 million in annual revenue during its first full year, starting in the second quarter of 2027.
Zoley said ICE will reimburse GEO for capital expenditures required to reactivate the four facilities and fund startup expenses. After their activation, GEO expects to have approximately 33,000 ICE beds under contract at 29 facilities.
The company also expanded services at existing sites. A staffing-related modification at the Adelanto ICE Processing Center added $60 million in incremental annual revenue, while a new 10-year contract at the Northwest ICE Processing Center in Washington added $50 million in incremental annual revenue. March said the Adelanto modification is included in the company’s guidance for the rest of 2026.
In response to an analyst’s question about 93% occupancy at quarter-end, Zoley said there was mathematically 7% capacity remaining at existing facilities, before the opening of the four new sites.
Monitoring Mix Supports Growth
GEO’s electronic monitoring and supervision revenue increased 1.6% from a year earlier, reversing a multiyear trend of quarterly declines, March said. He attributed the improvement to a shift toward more intensive technology and case management services under the Intensive Supervision Appearance Program, or ISAP.
Zoley said ISAP had approximately 190,000 participants, up from 184,000 three months earlier. Approximately 58,000 participants currently use GPS ankle monitors, compared with 17,000 in early 2025, while approximately 121,000 receive case management services.
Zoley said ISAP had not developed as the company expected two years ago, but he expects it to grow as the administration builds detention capacity, particularly through changes in the technology mix.
Asset Sales and Capital Allocation
GEO completed the sale of three facilities in the Adelanto, California, complex to the Department of Homeland Security for $950 million in gross proceeds. Net proceeds after taxes and transaction costs were approximately $705 million. GEO expects to continue providing support services at the complex under an existing ICE contract with an effective term through December 2034.
The company used proceeds to redeem $650 million in senior secured notes and extended its $550 million revolving credit facility to July 2031. March said GEO’s remaining corporate debt consists of $625 million in senior unsecured notes due in 2031, and that available liquidity was approximately $600 million.
Zoley said active negotiations could result in sales of up to four more company-owned facilities before the end of 2026, subject to agreement on price and continued long-term support services. He cautioned that no definitive agreements were in place and that there was no assurance further transactions would occur.
Management said share repurchases are a capital allocation priority and that the company would consider accelerated or structured transactions. March said significant asset-sale proceeds would also be used to reduce debt.
Higher 2026 Outlook
For the fourth quarter, GEO projected revenue of $777 million to $827 million and adjusted EBITDA of $149 million to $154 million. It forecast adjusted net income of $46 million to $51 million, or $0.35 to $0.39 per diluted share.
For the full year, the company raised its adjusted EBITDA outlook to $568 million to $573 million. It also projected GAAP net income of $726.3 million to $730.5 million, including the fourth-quarter gain from the Adelanto sale.
Management cited the new ICE facilities, potential growth in transportation and monitoring services, and the expected July 2027 transition of two Florida managed-only contracts among possible sources of growth next year.
