Perimeter Solutions NYSE: PRM, which formally changed its name to Perimeter Group on Nov. 4, reported a 20% increase in third-quarter adjusted EBITDA as growth in its Fire Safety and Specialty Products segments offset near-term supply costs at its PDI lubricant additives business.

Third-quarter adjusted EBITDA rose to $223.5 million, while net sales decreased 24% to $389.9 million, Chief Financial Officer Kyle Sable said on the company’s Nov. 5 earnings call. Adjusted diluted earnings per share increased to $0.85 from $0.82 a year earlier.

Net income was $304.5 million, or $1.74 per diluted share, compared with a net loss of $90.7 million, or $0.62 per share, in the prior-year quarter. Year-to-date sales rose 32% to $728.7 million, and adjusted EBITDA increased 25% to $370.3 million.

Chief Executive Officer Haitham Khouri said the company’s new name reflects its structure as a group of six businesses across two reporting segments. The fire retardant business retains the Perimeter Solutions name, and the company continues to trade under the PRM ticker. Perimeter also moved its headquarters to Charlotte, North Carolina.

Fire Safety Growth and Wildfire Activity

Fire Safety revenue rose 14% to $312.5 million in the quarter, while adjusted EBITDA increased 14% to $201.6 million. Results included Monaco Enterprises, the life safety and incident management systems business acquired on July 30.

Sable said international retardant sales were strong, led by Europe and Australia, while North American retardant sales also grew. The suppressants business benefited from stronger foam sales outside North America and resumed deliveries to the Defense Logistics Agency under a five-year contract with a maximum value of $500 million.

The segment’s adjusted EBITDA margin was 64.5%, essentially flat year over year despite a pricing step-down under the company’s federal retardant contract, Sable said. This was the first full season under that five-year agreement.

North American fire activity was at the high end of what the company considers normal for the year to date, Sable said. Activity was more severe than normal in July and August but slowed sharply in September, while Canada remained below normal throughout the quarter.

During the most active periods, air tanker availability was the primary constraint on delivering retardant, Sable said. Perimeter has also shifted more sales toward fixed service fees as contracts have been renewed, reducing its exposure to changes in fire activity.

PDI Supply Investments Weigh on Outlook

Specialty Products revenue rose 84% to $77.3 million, and adjusted EBITDA climbed to $21.9 million from $9.1 million. The segment includes PDI, medical manufacturing equipment business MMT and aftermarket electronics business IMS.

Management said it is expanding production at its own facilities and engaging alternative sources to improve reliability at PDI, where U.S. supply has fallen short of customer needs. Those sources are more expensive on average in the near term, Sable said.

Khouri told analysts that an effort to resolve the problem within the contractual framework with an existing supplier had not succeeded. The company is prepared to address the issue outside that framework, he said, but was not ready to provide full details or a timeline for normalization.

Despite the costs, Sable said the company expects fourth-quarter Specialty Products adjusted EBITDA to be only modestly below its average quarterly result for the first three quarters, supported by performance outside PDI. Khouri described PDI’s expected fourth-quarter EBITDA contribution as minimal.

Cash Flow and Acquisitions

Perimeter generated $150.4 million in free cash flow during the third quarter, which Sable described as its seasonally strongest period for cash generation. The company ended the quarter with approximately $116 million in cash and $316 million in total liquidity.

Net debt was approximately 2.7 times trailing 12-month adjusted EBITDA, down from 3.1 times at the end of the second quarter. Perimeter repaid the revolving credit borrowings used to fund its Monaco acquisition, leaving its $200 million facility undrawn at quarter-end, Sable said.

The company deployed approximately $830 million of capital year to date, including about $682 million for MMT, $117 million for Monaco and $31 million of capital spending. After meeting reinvestment needs, acquisitions remain the primary capital allocation focus, Sable said.

Perimeter expects capital expenditures to be at the high end of its $30 million to $40 million annual range in 2026. It also expects to work through excess federal customer retardant inventory by the second quarter of 2027 after the September slowdown left it with more stock than anticipated.
