About Forafric Global

Forafric Global (NASDAQ:AFRI) Corporation is a Delaware‐incorporated special purpose acquisition company (SPAC) listed on the Nasdaq under the ticker AFRI. Established in 2023, the company was formed to raise capital through an initial public offering for the purpose of identifying and consummating a business combination with one or more operating businesses. As a blank‐check vehicle, Forafric Global does not engage in any commercial operations until it completes a merger, share exchange, asset acquisition, stock purchase or similar transaction.

The company’s investment mandate is focused on growth opportunities across the African continent. While Forafric Global has not yet announced a definitive target, its stated objectives include opportunities in agribusiness, food and beverage, financial services, technology, infrastructure and natural resources. By leveraging the demographic growth and expanding consumer markets in sub‐Saharan Africa, the SPAC aims to partner with management teams to accelerate scaling and create value in undercapitalized sectors.

Funds raised in Forafric Global’s trust account are held pending approval of a qualifying business combination by its shareholders, and the company must complete a transaction within a specified timeframe to avoid liquidation. Upon closing a business combination, the resulting entity will continue as a publicly traded company, providing investors access to private‐company growth potential in emerging African markets.
