Broadwind Energy NASDAQ: BWEN said it has acquired privately held precision manufacturer MCM for $18 million in cash, plus up to $7 million in performance-based consideration tied to financial milestones over the 14 months following the transaction’s close.
The company said the acquisition, completed Oct. 30, is intended to accelerate its strategic shift toward higher-value power generation and critical-infrastructure markets. MCM, based in Northport, Alabama, manufactures metal components used in electrical transmission and distribution, or T&D, applications.
Entry Into Grid Infrastructure Components
MCM operates from a 37,000-square-foot facility near Tuscaloosa and has approximately 50 employees, all of whom joined Broadwind at closing, according to President and CEO Eric Blashford. The business provides machining, fabrication, assembly, kitting and delivery services for components used in high-power transmission-line applications.
Blashford said MCM’s products are designed to meet requirements for corrosion resistance, conductivity and performance in extreme weather conditions. The company sources its raw materials through domestic suppliers and generates approximately 95% of its trailing 12-month revenue from T&D component manufacturing.
“MCM gives Broadwind an immediate and strategic entry point” into the electrical T&D market, Blashford said, citing investment in grid modernization, expansion, hardening and resilience. He noted that the U.S. transmission network spans more than 600,000 miles.
The transaction follows Broadwind’s efforts to reduce its reliance on wind-related revenue. Blashford said wind-related business represented as much as 50% of the company’s revenue as recently as 2023, but Broadwind has since exited the wind tower market and sold non-core assets.
Financial Profile and Purchase Economics
For the trailing 12 months ended June 30, 2026, MCM generated approximately $16.5 million in revenue and $3.7 million in adjusted EBITDA, representing an adjusted EBITDA margin of about 23%, Chief Financial Officer Tom Ciccone said. MCM’s revenue grew at a compounded annual rate of 25% over the four years ending in 2025, according to Broadwind.
The $18 million upfront purchase price equates to roughly 4.8 times MCM’s trailing 12-month adjusted EBITDA, excluding the potential earnout, Ciccone said. On a pro forma basis, Broadwind and MCM generated about $90 million in revenue and $3.6 million in adjusted EBITDA for the same trailing 12-month period, for a blended adjusted EBITDA margin of 4%.
After the acquisition, pro forma net debt to trailing 12-month adjusted EBITDA was approximately 3.7 times, Ciccone said. Broadwind expects MCM to be reported in a new Grid Infrastructure Solutions segment beginning in the fourth quarter of 2026. The company also expects the transaction to be accretive to adjusted EBITDA margin and earnings per share beginning in that quarter.
MCM expanded its Northport facility in 2023 and has invested in capacity additions over the past five years. Ciccone said expected capital expenditures moving into 2027 will primarily be maintenance-related and are expected to remain below 5% of revenue.
Customer Relationships, Capacity and Growth Plans
Blashford said MCM’s customer relationships are complementary to Broadwind’s existing operations. While Broadwind currently serves utility-scale natural-gas power-generation customers, MCM serves the transmission portion of the electricity supply chain, including components used to support high-tension wires.
He said the companies could have cross-selling opportunities, while shared use of raw steel may provide supply-chain benefits. MCM’s major customers have been with the company for more than 20 years on average, according to Broadwind, and the manufacturer holds sole-source and preferred-supplier positions.
During the question-and-answer session, Blashford said MCM’s backlog was approximately six months and growing, while orders had been particularly strong in the most recent quarter. He said discussions with major customers indicated they were seeking additional supply and supported MCM’s growth under Broadwind ownership.
Blashford said recent capital investment at MCM, expected to be installed within about a month of the call, would add capacity needed to support continued growth. Broadwind does not currently expect heavy capital investment over the next year, although he said the company could provide growth capital as needed.
While MCM reported a trailing adjusted EBITDA margin of approximately 23%, Blashford said Broadwind’s internal models assume margins in the high teens. He attributed MCM’s profitability to its technical complexity, broad product portfolio and responsiveness, including its ability to shift production in response to utility needs following natural disasters.
Acquisition Strategy
Broadwind said MCM could serve as a model for future bolt-on acquisitions. Blashford said the company continues to evaluate potential transactions in the $10 million to $20 million range, with an emphasis on margins, target markets, profitability and management teams.
“We need to take some time to bring this part of our family,” Blashford said, adding that Broadwind expects to continue pursuing growth through mergers and acquisitions over the coming years.
