HealthStream NASDAQ: HSTM raised its full-year outlook after reporting third-quarter revenue growth of 8.9%, while management highlighted investments in its technology platform, bundled workforce solutions and career-network offerings.
For the third quarter of 2026, revenue rose to $83.3 million from $76.5 million a year earlier. Adjusted EBITDA increased 1% to $19.3 million, producing an adjusted EBITDA margin of 23.2%. Operating income declined 13% to $6.6 million, while net income fell 11.7% to $5.4 million, or $0.18 per share, compared with $0.20 per share in the prior-year quarter.
CEO and Chairman Robert A. Frist Jr. said the company’s quarterly revenue exceeded the midpoint of the guidance range issued in August and its EBITDA margin surpassed the previously forecast 22% level.
Guidance Raised for Second Consecutive Quarter
HealthStream now expects 2026 revenue of $331 million to $333 million, net income of $21.8 million to $22.4 million and adjusted EBITDA of $77 million to $78 million. The company had previously raised guidance in August.
For the first nine months of the year, revenue increased 10.6% to $248.2 million and adjusted EBITDA rose 13.4% to $60 million.
CFO Scotty Roberts said the revised annual revenue outlook implies fourth-quarter growth of roughly 4% to 6%. HealthStream expects fourth-quarter adjusted EBITDA margin of about 21%, reflecting higher labor costs, a greater concentration of trade shows, and professional-services expenses associated with its cloud-hosting consolidation initiative.
Roberts said fourth-quarter growth will also face more difficult acquisition-related comparisons, as the company’s fourth-quarter 2025 acquisitions of Virsys12 and MissionCare Collective will begin to be included in year-over-year organic comparisons.
Subscription Growth and Product Mix
Subscription revenue increased $6.2 million, or 8%, during the quarter, while professional-services revenue rose $700,000, or 26.2%. HealthStream reported organic revenue growth of 4.7%, with additional inorganic growth of 4.2% related to the Virsys12 and MissionCare Collective acquisitions.
Roberts cited growth in several products, including CredentialStream, up 15%; ShiftWizard, up 20%; Resuscitation Suite, up 14%; the Competency product family, up 10%; and myClinicalExchange, up 34%.
The company’s legacy and sunsetting products generated approximately $8.7 million, or about 10% of third-quarter revenue, and declined $1.5 million, or 15%, from a year earlier. Management said it does not sell legacy products to new customers and is becoming more deliberate about moving customers toward newer products or ending support for products that have reached the end of their lifecycle.
Frist said legacy customers may renew their existing products, move to a competitor or migrate to HealthStream’s newer offerings. The company did not provide conversion rates between those outcomes but said it plans to offer more detail over time.
Remaining performance obligations totaled $686 million at quarter-end, compared with $621 million a year earlier. HealthStream expects to recognize about 41% of that amount as revenue during the next 12 months and 68% during the next 24 months.
Balance Sheet Strengthened by Private Placement
HealthStream ended the quarter with $115.2 million in cash and marketable securities and no debt, up from $66.7 million in the prior quarter. During September, the company raised approximately $40 million through a private placement of about 1.4 million common shares at $29.50 per share.
The company also extended its $50 million credit facility. Frist said the cash balance and untapped credit line provide flexibility for platform investments, acquisitions and other capital-allocation initiatives.
Year-to-date operating cash flow increased 16% to $58 million, while free cash flow rose 40% to $34.7 million. HealthStream spent $7.4 million on capital expenditures during the third quarter and returned $1 million through dividends. It also repurchased approximately $9.3 million of stock during the first nine months of the year at an average price of $21.50 per share.
The board declared a quarterly cash dividend of $0.035 per share, payable Nov. 27 to shareholders of record as of Nov. 16.
Suites, Platform Strategy and Cloud Migration
Management emphasized a strategy of selling integrated suites and market-specific bundles rather than individual point products. Frist said the Competency Suite combines applications, content and platform capabilities intended to help health systems manage clinical workforce competency across an enterprise. The company is also marketing its Compliance Suite and bundles tailored to care settings including critical access hospitals, skilled nursing facilities, home health providers, ambulatory surgery centers and behavioral-health organizations.
Frist said the bundled approach can simplify purchasing decisions for customers, support vendor consolidation and potentially result in larger contract values and longer commitments for HealthStream. He added that the company is shifting its sales organization to lead more frequently with suites and bundles.
HealthStream is also renaming several products under its corporate brand. ShiftWizard will become HealthStream Scheduling, CredentialStream will become HealthStream Credentialing, and HealthStream Learning Center will become HealthStream Learning.
Gross margin declined to 64% from 65.3% a year earlier, primarily due to higher labor, software, royalty and hosting costs. The company has selected Amazon Web Services as its partner for an initiative to consolidate multiple cloud environments and on-premise data centers.
Roberts said the migration will take several quarters and may create some near-term margin pressure from overlapping environments and implementation work. Frist said management expects the project to provide longer-term benefits including improved security, operational efficiency and lower costs per unit of capacity.
On acquisitions, Frist said HealthStream continues to evaluate opportunities that strengthen its ecosystem and platform strategy. He described Virsys12 and MissionCare as performing “okay,” though not yet at the company’s original expectations, and said HealthStream is continuing to invest in the career-networks category.
