The company’s recently announced deal with Amazon.com NASDAQ: AMZN and partnership with OpenAI were two key catalysts for the stock. After revealing these engagements, Synopsys’s management team substantially increased its long-term guidance, anticipating higher growth and greater margin expansion.

However, these are not the only developments worth taking notice of. Synopsys is also looking to return more capital to shareholders, recently announcing a $1 billion accelerated share repurchase (ASR) program.

This move not only signals confidence in its outlook, but also sends a particularly positive signal compared to many buyback programs.

Synopsys Initiates ASR Following Its Investor Day

Not long after its Investor Day, where Synopsys updated its financial targets and provided details around its Amazon and OpenAI engagements, the company announced its $1 billion ASR. While large in absolute terms, the ASR is relatively small compared to Synopsys’s market capitalization near $92 billion, equal to a bit more than 1% of the company’s value. However, the accelerated aspect of the program makes the positive signal this move sends stronger.

Under the ASR, Synopsys receives initial delivery of approximately 1,735,000 shares. This immediately moves these shares from being outstanding to part of Synopsys’ treasury shares. From the company’s point of view, it can immediately lower its outstanding share count, helping improve share-based metrics like earnings per share (EPS). Synopsys' last reported outstanding share count was approximately 191.6 million.

By using an ASR, Synopsys signals that it wants to quickly lower its share count. This indicates that, longer-term, the company sees its share price moving higher. Under this assumption, using an ASR would be the more efficient method for lowering its share count. This comes as buying back shares at higher future prices would equate to less share count reduction for an equal cash outlay. Overall, using an ASR is a particularly notable signal because it suggests Synopsys sees a strong opportunity near recent prices.

More Share Count Reduction Could Be in Synopsys’ Future

Synopsys’ outstanding share count may fall by more or less than the 1,735,000 shares by the end of the ASR. This is because companies employ investment banks, in this case J.P. Morgan Chase & Co. NYSE: JPM, to execute the ASR. The company’s share count immediately falls by 1,735,000 because the bank immediately borrows shares in the market and delivers them to Synopsys. Then, over time, the bank purchases shares to close out its position.

The actual number of shares Synopsys will receive will be based on its average daily volume-weighted average share price (VWAP) during this repurchase period, less a discount it receives from the bank. The repurchase period extends through Jan. 5, 2027, at the latest, but can end earlier if J.P. Morgan completes it beforehand. Due to this, the higher Synopsys’ average daily VWAP is over this period, the fewer shares it will receive.

However, there is a reasonable chance that Synopsys will receive more than 1,735,000 shares. Off of $1 billion, 1,735,000 shares implies a price per share near $576, well above Synopsys’ current level near $480.

As an illustration, if Synopsys’s average daily VWAP during the repurchase period was $500, it would receive around 2 million shares. This would be around 15% more shares than the initial delivery, although the actual number would be slightly more after adjusting for the discount. In turn, Synopsys' stock could move significantly higher, and the company could still receive the 1,735,000 shares, or potentially more.

The MarketBeat consensus price target for Synopsys is about $572, implying healthy upside. However, the average of price targets updated since the company’s Investor Day is moderately higher, near $586. The range among these updated targets is somewhat wide, with Deutsche Bank’s $640 target being the highest and BNP Paribas’s $475 target being the lowest. Notably, BNP Paribas’s target is the only target tracked by MarketBeat below $500, while around 10 are at or above $600. Meanwhile, SNPS has zero Sell ratings, four Hold ratings, and 22 Buy ratings.

Upside catalysts include Synopsys signing more deals similar to its over $1 billion agreement with Amazon, which provides IP for future generations of Amazon’s custom chips.
