Guidewire Software NYSE: GWRE said it has agreed to acquire underwriting technology company hyperexponential in a transaction valued at up to approximately $2.1 billion, expanding its presence in commercial insurance underwriting, pricing and artificial intelligence-enabled workflows.
The proposed deal includes about $1.7 billion in cash consideration, inclusive of an employee retention pool, and a contingent earn-out of up to $400 million tied to hyperexponential’s post-closing performance over the next three years. Guidewire expects to finance the acquisition through roughly $1 billion of new Term Loan A financing and cash on its balance sheet.
The company expects the transaction to close in its second fiscal quarter ending Jan. 31, 2027, subject to customary closing conditions. Guidewire said the deal will not affect its first-quarter guidance and that it plans to provide an updated fiscal 2027 outlook with its first-quarter earnings results.
Underwriting Platform Expansion
Chief Executive Officer Mike Rosenbaum said the acquisition is intended to position Guidewire more directly in what the company calls “agentic underwriting,” using AI systems to automate elements of submission ingestion, risk evaluation, triage and pricing preparation within insurers’ controls and frameworks.
Rosenbaum said underwriting decisions remain among the most consequential for insurer profitability, while much of the work is still manual and reliant on spreadsheets. He said Guidewire sees an emerging $30 billion market opportunity in underwriting transformation.
“Today’s acquisition is about delivering that new agentic underwriting platform,” Rosenbaum said. “It is a commitment by Guidewire to lead the transformation to agentic underwriting across every segment and line of business in commercial insurance.”
Hyperexponential, often referred to as hx during the call, has nearly 300 employees and brings experience in the London market and specialty commercial underwriting, according to Guidewire. Rosenbaum said its capabilities are expected to complement Guidewire’s existing experience serving flow-based and more scalable commercial insurance segments.
Guidewire President John Mullen said the companies’ products and expertise address different parts of the market. He described Guidewire’s pricing and rating capabilities as particularly applicable to more defined, flow-based business, while hyperexponential has focused on complex risks where actuaries and underwriters work more closely on customized pricing and risk decisions.
Management said it expects to develop a joint product roadmap after closing, while continuing to sell hyperexponential’s offerings without interruption. Rosenbaum said Guidewire expects to provide greater clarity on the combined roadmap within three months of the transaction’s close.
Growth and ARR Expectations
Chief Financial Officer Jeff Cooper said Guidewire expects hyperexponential to contribute more than 650 basis points of incremental annual recurring revenue growth in fiscal 2027 on an inorganic basis. Beyond that initial contribution, the company expects the combination to support an acceleration of at least 150 basis points in organic ARR growth after fiscal 2027.
Cooper said the outlook reflects opportunities to distribute hyperexponential’s technology through Guidewire’s sales organization, global customer relationships and partner ecosystem. He said the growth assumptions disclosed with the transaction are largely based on the companies’ standalone plans rather than anticipated synergies.
“There are synergies that we think we will unlock from bringing these two organizations together,” Cooper said, adding that such synergies could provide upside to the financial figures presented.
Rosenbaum said hyperexponential uses a pricing approach aligned with Guidewire’s own model, based on a measure of premium rather than per-seat pricing. He said that structure links software fees more closely to the insurance outcomes the products are intended to support.
Customer Reach and Competitive Positioning
Guidewire did not disclose hyperexponential’s customer count or detailed overlap statistics. Rosenbaum said the acquired company has a strong customer base among London-market and specialty commercial insurers and will bring some new customer relationships to Guidewire.
Management emphasized that the strategic rationale extends beyond the companies’ customer lists. Rosenbaum and Cooper pointed to complementary relationships within insurers, as well as different functions performed by their respective customer-facing and engineering teams.
Mullen said the combination is designed to enable more business-focused discussions with chief underwriters, product managers and actuaries around risk selection, pricing, capital allocation and profitability. He said access to Guidewire’s platform and insurance data, combined with hyperexponential’s underwriting capabilities, could create a more comprehensive offering for insurers.
Rosenbaum said the acquisition may also broaden Guidewire’s reach within the property-and-casualty insurance value chain, including managing general agents, distribution organizations and reinsurers. He said the company’s primary focus remains P&C insurance, while describing the underwriting opportunity as a potentially significant long-term growth driver.
