BrightSpire Capital NYSE: BRSP reported third-quarter 2026 GAAP net income attributable to common stockholders of $46.9 million, or $0.37 per share, while adjusted distributable earnings totaled $17.8 million, or $0.14 per share. Distributable earnings, including specific reserves, were $10.3 million, or $0.08 per share.
Management said the quarter’s results reflected continued loan originations, portfolio repositioning and progress in reducing real estate owned and watchlist exposures. At the same time, the company said heightened interest-rate and credit-market volatility has prompted it to prioritize liquidity and balance-sheet protection, potentially slowing loan-book growth in the near term.
Market Volatility Drives Liquidity Focus
Chief Executive Officer Michael Mazzei said the 10-year Treasury yield reached 5.37% during the quarter, a nearly 100-basis-point move from June 30, before retreating below 5%. Credit spreads also widened across corporate bonds, term loans and structured products, while CLO AAA and bank warehouse repo spreads widened by roughly 10 to 15 basis points.
Mazzei said the company has seen effects of those conditions in commercial real estate, including investment-sales transactions that were repriced or removed from the market. He said the current environment makes cash liquidity particularly important for mortgage REITs.
“We will remain disciplined, continue to strengthen our liquidity position, and first and foremost, protect the balance sheet,” Mazzei said.
BrightSpire’s liquidity stood at approximately $181 million as of the call date, including $106 million of cash on hand and $75 million available under its credit facility. Mazzei said a near-term decline in demand for acquisition financing and the company’s decision to allow liquidity to build could moderate loan-book growth and potentially delay its path to positive dividend coverage.
During the question-and-answer session, Mazzei said the company expects its loan portfolio to remain stable or grow modestly in the fourth quarter before potentially reengaging more fully in the market during the first quarter, depending on market conditions.
Originations and Portfolio Changes
BrightSpire originated seven loans totaling $272 million in commitments during the quarter, while repayments totaled $79 million across four positions. The loan portfolio ended the quarter with 111 loans and an aggregate balance of approximately $3.1 billion, an increase of nearly $200 million from the prior quarter and more than $700 million, or 30%, from a year earlier.
President and Chief Operating Officer Andrew Witt said the portfolio is now 72% multifamily, with an average loan balance of $28 million and a weighted average risk ranking of 3.1. The company has sought to reduce large loan concentrations and expects office exposure and loans originated before 2024 to decline in both relative and absolute terms.
Dan Katz, managing director and head of originations, said multifamily represents about 60% of the company’s top-of-funnel lending activity. BrightSpire is also evaluating industrial, hospitality and retail lending opportunities. Katz said multifamily and industrial loan spreads were in the mid-200-basis-point range, while retail and hospitality spreads were in the 300-basis-point range.
Chief Credit Officer Matt Heslin said the company’s multifamily portfolio had a debt yield above 6%, while the company’s most recent CLO, which was 95% multifamily, had a 7% debt yield.
CLO Financing and Asset Sales
BrightSpire completed its fifth CLO during the quarter, its second issuance of 2026. The new CLO includes a $100 million ramp and a 30-month reinvestment period. Following the transaction, approximately two-thirds of the company’s loan portfolio was financed through non-recourse, non-mark-to-market CLO liabilities.
Mazzei said the company’s goal is to expand its loan book to roughly $3.5 billion to $3.75 billion, which he said would likely require one additional CLO. He said management expects that issuance to occur in 2027, barring a broader market disruption.
The company also completed the sale of its Albertsons triple-net investment, recording a GAAP gain of approximately $60.3 million. Chief Financial Officer Frank Saracino said the sale reduced undepreciated book value by approximately $8.7 million and was completed at roughly 2% below undepreciated book value.
GAAP net book value increased to $7.08 per share from $6.81 in the second quarter. Undepreciated book value declined to $7.87 per share from $8.10, primarily due to higher CECL reserves and real estate impairments, partially offset by share repurchases.
REO, Watchlist and Capital Actions
BrightSpire sold a Mesa, Arizona multifamily REO property during the quarter, while the sale of a Fort Worth, Texas multifamily property closed after quarter-end. The sales resulted in approximately $2.6 million of GAAP impairment charges and a $7.2 million reduction in undepreciated book value, Saracino said.
The company has also begun marketing its Santa Clara, California REO land asset and expects to bring two remaining multifamily REO properties to market in the near term. Witt said BrightSpire ultimately aims to reduce its REO portfolio to its San Jose hotel property, which it anticipates marketing sometime in 2027.
On the watchlist, BrightSpire resolved a Denver office loan during the quarter. It downgraded two related office loans secured by properties in the same 420,000-square-foot complex to risk rank four because of approaching maturities and uncertainty around the investments’ resolution, Witt said.
The company recorded and charged off approximately $7.5 million of specific CECL reserves tied to the Denver office loan resolution. Its general CECL provision rose to $107 million, or 332 basis points of total loan commitments, from $100 million, or 327 basis points, in the prior quarter.
BrightSpire repurchased approximately 2.1 million shares for about $10 million during the quarter at an average price of $4.81 per share. Saracino said the activity added $0.06 to undepreciated book value per share, leaving approximately $20.5 million under the company’s repurchase authorization. Management said it may consider further buybacks but will weigh that opportunity against the need to preserve liquidity.
