Ticketplus NYSEAMERICAN: TP reported record third-quarter revenue, gross profit and Adjusted EBITDA as the Latin American live-entertainment technology company completed its initial public offering and acquired Argentina-based ticketing company Autoentrada.
Revenue for the quarter ended Sept. 30 rose 90.3% year over year to $14.4 million, while total platform sales, or gross merchandise value (GMV), increased 144.8% to $177.5 million. Net profit reached $1.6 million, or $0.14 per share, compared with $0.2 million, or $0.02 per share, a year earlier.
“The third quarter was a milestone period for Ticketplus,” Chief Executive Officer Chien-Fu Chen said. “We completed our initial public offering on the NYSE American, and we delivered the strongest quarter in our company’s history, achieving record revenue, record platform sales, and record Adjusted EBITDA.”
IPO and Autoentrada acquisition
Ticketplus completed its IPO in August, selling 1.875 million ordinary shares at $8 per share. Underwriters later partially exercised their over-allotment option for another 258,814 shares. The transactions produced approximately $17.1 million in gross proceeds and $15.5 million in net proceeds, according to management.
The company ended the quarter with $17 million in cash and cash equivalents, compared with $4 million at the end of 2025. Its cash balance exceeded total bank borrowings of approximately $13 million. Ticketplus said its bank loans have fixed interest rates, mature through 2030 and include about $3.6 million due within one year.
In September, Ticketplus acquired Autoentrada S.A., a Córdoba, Argentina-based ticketing company that had operated as a Ticketplus white-label partner since 2019. Autoentrada founder Eric López joined the company as country manager for Argentina. Chen said the acquisition gives Ticketplus a local operating platform to serve promoters and venues in the country.
White-label growth drives GMV expansion
Ticketplus operates both a white-label software-as-a-service model, through which partners run their own operations on the company’s technology, and a full-operation model that includes sales, marketing and on-site services. Management said the white-label business is allowing the company to expand across markets while full operations capture a greater share of the value associated with each ticket.
For the first nine months of 2026, platform sales handled for white-label partners more than tripled from a year earlier and represented 57.7% of total GMV, up from 42% in the prior-year period. Chen said the growth in white-label volume is the principal reason GMV is increasing faster than revenue, while revenue as a percentage of GMV remained broadly stable within each operating model.
The company processed more than 62,400 events during the first nine months, exceeding the number handled during all of 2025. GMV for the nine-month period increased 131.5% to $457.8 million, compared with approximately $269 million for all of 2025. Ticketplus ended September with 11 active markets.
Ticketplus said its technology platform combines ticketing, payments, access control and data analytics, with services that also include marketplace distribution, memberships, e-commerce, streaming, loyalty programs and cashless payments. The company operates in Argentina, Chile, Colombia, Costa Rica, the Dominican Republic, Ecuador, Mexico, Paraguay, Peru, the U.S. and Uruguay.
Margins and profitability
Third-quarter gross profit rose 116.1% to $7 million, and gross margin expanded to 49% from 43.1% a year earlier. Cost of revenue fell to 51% of revenue from 56.9%, which Chief Financial Officer Joaquín Jadue attributed to improved unit economics, scale and a larger contribution from software-based deployments.
Administrative expenses increased to $3.9 million from $2.8 million, largely reflecting $1.3 million in non-cash share-based payment expense and public-company operating costs. Of the share-based expense, $1.2 million related to ordinary shares issued for services in connection with the IPO.
Adjusted net profit, excluding the one-time share-based payment expense and other offering-related items, was $2.8 million, or $0.24 per share. Adjusted EBITDA rose 108.2% to $6.1 million, while Adjusted EBITDA margin increased to 42.6% from 39%.
For the first nine months, revenue grew 76.4% to $37.3 million and net profit increased 208.3% to $5.7 million. Adjusted EBITDA totaled $16 million, up 112.3%, with a 43% margin.
Operating cash flow for the first nine months increased 48.8% to $11.8 million. Ticketplus invested $14.1 million in capitalized software development, equal to 37.8% of revenue, as it prepared the platform for additional white-label deployments and expanded full-operation services.
2026 outlook
Ticketplus reaffirmed its full-year outlook for revenue of $51 million to $53 million, representing growth of 73.1% to 79.9% over 2025. The company expects GMV of $625 million to $650 million, growth of more than 130%, and 80,000 to 85,000 events processed, compared with more than 39,800 events in 2025.
Management also expects to have at least 12 active markets by year-end. The forecast includes organic growth and signed transactions only and uses exchange rates as of Oct. 26, which the company said were less favorable than average third-quarter rates.
Chen said Ticketplus’ priorities for the remainder of the year include launching new white-label markets, executing on its fourth-quarter event calendar, integrating Autoentrada and continuing investment in its platform.
