Key Points

  • Q3 performance exceeded expectations: Pentair reported adjusted EPS of $1.18, above its $1.05–$1.08 guidance range, on $976 million in sales. Flow and Water Solutions growth offset an 18% decline in Pool sales caused by channel inventory reductions.
  • Pool destocking is complete, but recovery remains cautious: Pentair estimates approximately $280 million of Pool destocking occurred in Q2 and Q3, with channel inventory expected to remain $180 million below the prior-year level at year-end. Management expects roughly flat 2027 sell-through but believes reported Pool sales could rise about 14% as inventory levels normalize.
  • Taco acquisition expands growth prospects: The acquisition is expected to generate more than $620 million in 2027 sales and over $105 million in EBITDA, while being accretive to adjusted EPS. Pentair reaffirmed full-year adjusted EPS guidance of approximately $4.70 and expects Q4 sales growth of 7%–9%, including Taco.

Pentair NYSE: PNR reported third-quarter 2026 adjusted earnings per share of $1.18, exceeding its guidance range of approximately $1.05 to $1.08, as performance in its Flow and Water Solutions segments helped offset lower Pool sales tied to a channel inventory reduction.

Third-quarter sales were $976 million, while adjusted operating income totaled $242 million and adjusted return on sales was 24.8%. Sales declined 5% on a core basis from a year earlier, primarily reflecting an 18% sales decline in Pool. Flow and Water Solutions each posted 1% growth, according to Interim CFO Bob Fishman.

CEO John Stauch said the company’s results came in ahead of its expectations, with sales within its guidance range and adjusted operating income and earnings above expectations. Pentair generated $153 million in free cash flow during the quarter and $620 million through the first nine months of 2026.

Results included approximately $8 million in tariff refunds during the third quarter, down from $35 million received in the second quarter. Pentair has received $43 million in tariff refunds year to date and does not expect additional refunds in the fourth quarter.

Segment performance

  • Flow: Sales increased 4% to $262 million. Segment income rose 15%, while return on sales expanded 250 basis points to 26%. Fishman said delayed spending in food and beverage restrained sales, though the rest of the portfolio delivered double-digit growth, including strong results from the Hydra-Stop acquisition.
  • Water Solutions: Sales increased 1% to $422 million. Commercial sales rose 4%, offsetting a decline in residential markets associated with end-market headwinds. Segment income increased 16% to $121 million, and return on sales rose 370 basis points to 29%, helped by pricing, productivity and $6 million in tariff refunds.
  • Pool: Sales declined 18% to $291 million, though the result was better than management expected. Segment income fell 38% to $72 million, and return on sales declined to about 25%, reflecting lower volume leverage, inflation and investments in sales, marketing, service and quality initiatives.

Stauch said Pentair completed its previously announced Pool channel inventory destock during the quarter. Fishman said the company estimates that approximately $280 million of destocking occurred during the second and third quarters, including about $190 million in the second quarter and $90 million in the third quarter.

The company expects channel inventory at the end of the fourth quarter to be approximately $180 million below the prior-year level. Management said this positioning should allow sell-in to more closely match sell-through in 2027.

Pool outlook and operating initiatives

Pentair estimates full-year Pool sell-through will be approximately $1.45 billion in 2026, up 2% to 3% from 2025. Management said it currently expects 2027 sell-through to remain roughly flat at about $1.45 billion, with modest pricing offsetting continued soft market conditions.

Under that scenario, Pentair said reported Pool sales could rise approximately $180 million, or about 14%, in 2027 because sales would reflect steadier channel inventory levels. The company expects the segment to produce approximately 30% return on sales for the full year of 2027, while continuing to invest in innovation, branding and customer support.

Stauch said the company is not assuming an end-market recovery in its initial Pool framework and has not yet provided formal 2027 guidance. Pentair plans to provide a fuller outlook following its fourth-quarter results.

The company also named Josh Cowley executive vice president and CEO of Pentair Pool, reporting to De’Mon Wiggins. Stauch outlined a strategy focused on “outsell,” “out-support,” quality and product excellence. The efforts include expanding inside-sales resources, creating a more localized regional approach, adding customer-support capacity, investing in quality processes and seeking more dealer input on products.

Management said it does not view Pool’s recovery efforts as a pricing-driven strategy. CFO Bob Hau said the company has communicated general price increases of 3% to 4% for 2027 to its dealer channel, which he said should help offset inflation.

Taco acquisition and capital allocation

Pentair completed its acquisition of Taco Group Holdings on Oct. 1. The acquired business expands Pentair’s water circulation and hydronic flow-control capabilities, along with its exposure to commercial, institutional, HVAC, data-center and infrastructure markets.

Management estimates Taco will generate approximately $560 million in 2026 sales, up roughly 23% from 2025, and about $90 million in EBITDA. For 2027, Pentair expects Taco sales of more than $620 million and EBITDA above $105 million. The company expects the acquisition to be accretive to adjusted earnings per share in 2027.

Pentair financed the transaction with $1.4 billion of term-loan debt carrying an approximately 5.25% interest rate. Hau said pro forma net leverage was about 2.5 times at the beginning of the fourth quarter, and the company expects to reduce leverage to its typical 1.5 to 2 times range over the next 24 months through cash generation.

Prior to the Taco financing, Pentair’s net debt leverage ratio stood at 1.4 times at the end of the third quarter. The company also said it increased its dividend 8% earlier this year, marking its 50th consecutive annual dividend increase.

Guidance reaffirmed

Pentair reaffirmed the midpoint of its full-year outlook, calling for adjusted EPS of approximately $4.70. The company expects full-year sales to decline about 3% and adjusted operating income to decline approximately 6%.

For the fourth quarter, Pentair expects sales growth of 7% to 9%, including Taco. Core sales are forecast to decline 2% to 3%. The company expects fourth-quarter adjusted operating income to increase about 1% and introduced adjusted EPS guidance of approximately $1.15.
