Key Points

  • Strong third-quarter performance: Revenue rose 29.5% year over year and adjusted gross profit increased 14.5%, driven by market-share gains, higher pricing and improved truckload profitability. NAST volume grew 3.5%, outperforming the broader freight market’s 0.3% decline.
  • AI and productivity are expanding margins: C.H. Robinson said its “Lean AI” strategy helped lift NAST and Global Forwarding margins above mid-cycle targets, while shipments handled per employee increased more than 15% year over year. The company sees further automation opportunities across its operations.
  • RXO acquisition remains central to strategy: Management expects the planned acquisition to generate $300 million in net synergies, but has paused share repurchases to manage leverage and maintain investment-grade ratings. The company also raised its full-year SG&A outlook to $585 million–$590 million.

C.H. Robinson Worldwide NASDAQ: CHRW reported third-quarter results marked by higher revenue, adjusted gross profit and operating margins, while management highlighted continued market-share gains, productivity improvements and plans to acquire RXO.

Total revenue increased 29.5% year over year in the third quarter, while adjusted gross profit rose 14.5%, Chief Financial Officer Damon Lee said. The company attributed the gains to North American Surface Transportation volume growth that exceeded the broader freight market, higher pricing in North American and global operations, and improved truckload profitability.

Chief Executive Officer Dave Bozeman said the company’s Lean AI strategy—combining lean operating practices, internally built artificial intelligence tools and employee expertise—has helped it improve margins and reduce its cost to serve. He said the company has expanded NAST operating margin by more than 1,500 basis points since the end of 2023 and Global Forwarding operating margin by more than 2,500 basis points over that period.

NAST volumes outpace freight market

North American Surface Transportation volume grew 3.5% from a year earlier, compared with a 0.3% decline in the Cass Freight Shipment Index, according to Michael Castagnetto, president of NAST. It was the 14th consecutive quarter in which the segment’s volume growth exceeded the index.

Truckload and less-than-truckload volumes each increased 3.5%. Castagnetto said the company continued to gain volume in retail, healthcare and technology, supported by services including drop-trailer, cross-border and short-haul offerings. The mix of truckload business remained 70% contractual and 30% transactional, unchanged from both the prior year and the prior quarter.

The company said tightening truckload capacity and higher spot-market costs supported profitability. Excluding fuel, U.S. DAT spot rates rose about 37% year over year during the third quarter. C.H. Robinson said it repriced a large portion of its contractual truckload portfolio and captured transactional shipments at higher margins, resulting in a 17% increase in truckload adjusted gross profit per shipment.

NAST operating margin, excluding restructuring costs, reached 40.3%, up 110 basis points from a year earlier. Global Forwarding operating margin was 36.6%, an increase of 660 basis points. Both figures exceeded the company’s stated mid-cycle margin targets for the businesses.

For the fourth quarter, Castagnetto said freight volumes typically decline from the third-quarter seasonal peak. The 10-year average for the Cass Freight Shipment Index, excluding 2020, indicates a 3.4% sequential decline in the fourth quarter. However, management expects its volume growth to continue outperforming the index on a year-over-year basis and expects truckload spot rates to rise during the holiday period.

Automation and productivity initiatives continue

C.H. Robinson said it is increasingly using custom-built AI agents to automate processes across the quote-to-cash cycle. Castagnetto said NAST shipments per person per day increased more than 15% year over year in the third quarter and more than 65% since the end of 2022.

Chief Strategy and Innovation Officer Arun Rajan said the company employs more than 450 in-house engineers and data scientists and is not dependent on a single large-language-model provider. Although token usage has increased more than 40-fold over two years, Rajan said annualized token costs remain below $2 million.

Management said the company has automated only a fraction of the hundreds of processes in its operations and sees additional opportunities in both NAST and Global Forwarding. In Global Forwarding, the company is applying its technology to areas such as ocean quoting to provide faster responses and reduce manual work.

Lee said management does not plan to alter its mid-cycle margin targets for NAST or Global Forwarding, but expects to use performance above those targets to support companywide earnings growth. He said Global Forwarding has opportunities for revenue growth, price and transportation-cost management, and further productivity gains.

Expenses, cash flow and capital allocation

Personnel expense totaled $360.3 million in the third quarter, including $3.6 million in restructuring charges tied to workforce reductions. Excluding those charges, personnel expense rose 5% to $356.7 million, primarily due to higher incentive compensation associated with financial performance.

Average headcount declined 10.4% year over year and 2% sequentially. C.H. Robinson raised its 2026 personnel-expense outlook to a range of $1.36 billion to $1.37 billion.

SG&A expense was $176.3 million, including $15.4 million in other charges, primarily consisting of $12.5 million in real-estate impairment charges. Excluding those items, SG&A expense increased $25.1 million year over year to $161 million, largely because of higher claims expense. Lee characterized third-quarter SG&A as above the company’s normal run rate and said the company expects expenses to decline sequentially in the fourth quarter.

The company raised its full-year SG&A outlook to $585 million to $590 million from a prior range of $540 million to $580 million. It maintained full-year capital-expenditure guidance of $65 million to $75 million and tax-rate guidance of 18% to 20%.

C.H. Robinson generated $124.1 million of operating cash flow in the quarter, though higher freight rates increased receivables and kept working capital elevated. The company ended the quarter with about $747 million of liquidity, repurchased $214.3 million of shares and paid $74.8 million in dividends. Net debt to EBITDA was 1.71 times at quarter-end, compared with 1.64 times at the end of the second quarter.

RXO acquisition and insurance outlook

Management reiterated confidence in its planned acquisition of RXO, announced three weeks before the call. Bozeman said C.H. Robinson expects to deliver $300 million in net synergies and apply its operating model and AI tools to the acquired business.

Executives said an analysis of RXO’s top 100 truckload brokerage customers found limited customer overlap. They also pointed to RXO’s capabilities in last-mile and expedited freight, areas where C.H. Robinson said it has comparatively limited overlap.

Lee said RXO has a healthy book of business and healthy gross margins, with its profitability challenge centered more on cost to serve. Management said it intends to focus productivity efforts on back-office and operational roles while retaining and supporting customer-facing teams and relationships.

Following the planned deal, C.H. Robinson has paused share repurchases and intends to return to its target leverage range by the end of 2028 while maintaining investment-grade credit ratings.

The company also said it expects to finalize its 2027 insurance renewal by the end of December and plans to disclose the outcome as soon as it has clarity, potentially through an 8-K filing rather than waiting for the next earnings call. Management said it expects insurance inflation to be “reasonable and manageable,” while noting that automobile liability insurance currently represents about 25 basis points of total revenue.
