Franklin Electric NASDAQ: FELE reported third-quarter 2026 sales growth of 9% and adjusted earnings-per-share growth of 15%, while raising its full-year outlook and outlining two acquisitions intended to expand its presence in industrial and mineral-extraction markets.
Chief Executive Officer Joe Ruzynski said the company’s legacy business contributed nearly 5% growth during the quarter, while recent acquisitions added to revenue. He said order rates remained healthy and channel inventory was balanced as the company exited the quarter, although certain international markets remained soft.
“We saw some market softness localized in Eastern Europe and the Middle East, and in South America, as the Brazilian elections are providing some headwinds,” Ruzynski said.
Quarterly Results and Updated Outlook
Third-quarter sales totaled $633.6 million, up 9% from the prior-year period. The increase was driven by organic pricing and volume growth, sales from acquisitions and favorable foreign-currency translation, according to Chief Financial Officer Jennifer Wolfenbarger.
GAAP diluted earnings per share rose to $1.35 from $0.37 a year earlier. Adjusted diluted EPS reached a third-quarter record of $1.50, compared with $1.31 in the prior-year quarter. Wolfenbarger said the adjusted EPS increase reflected volume growth, price discipline and cost management.
Consolidated operating income was $86.5 million, up 2% from $85.1 million a year earlier. Adjusted operating income increased 11% to $95.4 million, while adjusted operating margin improved 30 basis points to 15.1%.
Gross margin declined 50 basis points to 35.4%, affected by manufacturing-site move inefficiencies, inflation in materials and freight, and purchase-accounting effects related to acquired inventory. The company recorded $5 million in acquisition-related costs, $3.6 million from acquired-inventory fair-value step-ups and $300,000 in restructuring costs during the quarter.
For the full year, Franklin Electric raised its sales outlook to $2.23 billion to $2.3 billion and its adjusted diluted EPS outlook to $4.62 to $4.82. The revised guidance excludes the planned acquisition of Challenge Pumps.
Segment Performance
- Global Water Systems: Sales increased 5%, supported by acquisitions, pricing and currency translation. U.S. and Canada sales rose 7%, including a 13% increase in residential products such as water treatment and a 9% increase in agricultural groundwater pumping equipment. International organic volume declined nearly 5%, as growth in Asia-Pacific was offset by declines in Latin America and EMEA. Mineral-extraction sales outside the U.S. and Canada rose 71%. Adjusted operating income declined 2% to $60 million, with margin pressured by plant-move inefficiencies and higher material and freight costs.
- Distribution: Sales reached a quarterly record of $226.1 million, up 15%. Operating income rose $4.3 million to a third-quarter record of $20.6 million, and operating margin improved 80 basis points to 9.1%. Ruzynski attributed growth to market-share gains, acquisitions, price realization and the expansion of on-site inventory containers. Wolfenbarger said on-site inventory sales increased about 30% in the quarter.
- Energy Systems: Sales increased 15% to $91.7 million, driven by the Cat Pumps acquisition, organic volume growth and pricing. Adjusted operating income rose 24% to $31.5 million, and adjusted operating margin expanded 260 basis points to 34.4%.
Ruzynski said Energy Systems is expected to finish the year with more than $350 million in sales. The segment serves fueling and convenience customers, energy data infrastructure and industrial markets, with products focused on equipment uptime, monitoring and remote management.
Manufacturing Actions and Inflation
Management said plant relocations and site consolidations weighed on third-quarter margins but are expected to generate productivity benefits in 2027. The work includes moving a Mexico site to a larger campus, consolidating Pioneer production in Oklahoma, combining smaller Distribution locations into larger facilities, and completing regional water-treatment assembly, production and testing changes.
Ruzynski said the major moves have been completed, though certain wind-down activities will continue through the fourth quarter. Wolfenbarger said the company expects most of the work to be wrapped up in 2026.
Management said pricing was “very solid” across the enterprise, averaging about 3% in the quarter. However, inflation accelerated during the period, particularly in Distribution-related freight and fuel costs. Ruzynski said the company expects price and productivity actions to more than offset inflation going forward.
Acquisitions Target Industrial and Mining Markets
Franklin Electric completed its acquisition of Cat Pumps in September. Ruzynski said Cat Pumps, which supplies high-pressure piston and plunger pumps, expands the company’s exposure to industrial applications and markets where product reliability and uptime are important. He said Cat Pumps has more than $100 million in revenue and EBITDA margins above 35%, and is expected to be accretive to adjusted EPS in 2027.
The company also entered into a definitive agreement to acquire Challenge Pumps, a Perth, Australia-based provider of underground mine dewatering solutions. The transaction is expected to close later in 2026, subject to the completion of the target’s audit process and customary closing conditions.
Challenge Pumps generates approximately $52 million in annual revenue, with more than 55% of its revenue over the past three years coming from recurring parts and service activity, Ruzynski said. He said the acquisition will complement Franklin Electric’s existing dewatering and rugged-submersible offerings and create a more complete mine-water-management portfolio.
On a pro forma basis, the Challenge acquisition will push Franklin Electric’s revenue from critical-minerals and mining markets above $100 million, Ruzynski said. Management cited electrification and global demand for critical minerals as long-term supports for the market.
Franklin Electric ended the quarter with $159.1 million in cash and $125 million outstanding under its revolving credit agreement. Operating cash flow totaled $139.2 million for the first nine months of 2026. The company also declared a quarterly dividend of $0.28 per share, payable Nov. 19 to shareholders of record Nov. 5, and repurchased 50,000 shares for approximately $4.8 million during the quarter.
