We are a blank check company incorporated on May 22, 2024 as a Cayman Islands exempted company and formed for the purpose of effecting a merger, amalgamation, share exchange, asset acquisition, share purchase, reorganization or similar business combination with one or more businesses, which we refer to throughout this prospectus as our initial business combination. We have not selected any business combination target and we have not, nor has anyone on our behalf, initiated any substantive discussions, directly or indirectly, with any business combination target. While we may pursue an initial business combination in any business or industry, we expect to focus on a target in industries that complement our management team’s background, and to capitalize on the ability of our management team to identify and acquire a business, focusing on technology enabled businesses in a diverse range of areas including internet, enterprise technology, software, including artificial intelligence, fintech and blockchain. Our sponsor was formed by the founders and management team of Fifth Era LLC, an investor in disruptive technologies and Blockchain Coinvestors LLC, a preeminent blockchain venture investor and fund of funds. Blockchain Coinvestors’ goal is to provide broad coverage of the emerging unicorn and fastest growing blockchain companies and to capture superior returns by investing in the leading blockchain venture partnerships and providing high-quality blockchain investment opportunities. Both Fifth Era and Blockchain Coinvestors were formed and have been historically managed under the leadership of Alison Davis, our Managing Director and Matthew C. Le Merle, our Managing Director and Chairman of the Board. Mitchell Mechigian, our Chief Executive Officer and director nominee, joined Blockchain Coinvestors as Chief of Staff, before becoming a partner. Mr. Le Merle, Mr. Mechigian and Ms. Davis share deep experience in the Internet, enterprise technology, software including artificial intelligence, fintech, and blockchain areas, as well as in forming, leading, directing and advising companies. Our executive offices are located in the Cayman Islands.
